This Affiliate Agreement (“Agreement”) is entered into by and between MediaOne.ai (“Company,” “we,” “us,” or “our”) and you (“Affiliate,” “you,” or “your”). By registering as an affiliate or participating in our affiliate program, you agree to the terms and conditions set forth in this Agreement. If you do not agree to these terms, you must refrain from participating in our affiliate program.
1. Enrollment in the Affiliate Program
To begin the enrollment process, you must submit a complete and accurate application through the MediaOne.ai affiliate program platform. Acceptance into the program is at our sole discretion, and we reserve the right to reject or remove any affiliate from the program at any time, for any reason.
2. Affiliate Responsibilities
As an affiliate, you agree to:
- Promote MediaOne.ai’s services and offerings in a lawful and ethical manner.
- Use only the approved affiliate links and marketing materials provided by MediaOne.ai.
- Ensure that all promotions and advertisements you create are truthful and do not mislead users.
- Comply with all applicable laws, regulations, and guidelines related to affiliate marketing, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and testimonials.
You are solely responsible for ensuring that your website or marketing methods comply with these laws and guidelines. Failure to comply may result in termination of your participation in the affiliate program.
3. Affiliate Links and Promotion
Once you have been approved as an affiliate, we will provide you with specific affiliate links and promotional materials. You must use the affiliate links exactly as provided, without modification.
You may promote MediaOne.ai through your website, blog, email marketing, and social media, provided that your activities are compliant with this Agreement. You are prohibited from engaging in activities that are deceptive or harmful to our reputation, including but not limited to:
- Spamming or using unsolicited commercial email.
- Misleading promotions or claims about MediaOne.ai services.
- Engaging in keyword bidding on branded search terms related to MediaOne.ai.
4. Commissions and Payment
Affiliates will earn a commission on qualifying sales or actions generated through their affiliate links. The commission structure and rates will be communicated to you when you join the affiliate program or as may be modified by MediaOne.ai from time to time.
A. Qualifying Sales:
Commissions are only earned on sales or actions that are tracked through the use of the affiliate links provided. MediaOne.ai is not responsible for any loss of commissions due to tracking issues, customer cancellations, refunds, or any other factors beyond our control.
B. Payment Schedule:
Commissions will be paid out on a monthly basis, subject to reaching the minimum payment threshold of [Insert Threshold Amount]. If the minimum threshold is not met, commissions will roll over to the following month. Payments will be made through [Insert Payment Method(s)].
5. Termination of Agreement
Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party. Upon termination, you must immediately cease using all MediaOne.ai affiliate links, trademarks, and promotional materials.
6. Relationship of Parties
You and MediaOne.ai are independent contractors, and this Agreement does not create any partnership, agency, franchise, or employment relationship. You have no authority to make or accept any offers or representations on behalf of MediaOne.ai.
7. Intellectual Property Rights
MediaOne.ai grants you a limited, non-exclusive, revocable right to use our logos, trademarks, and promotional materials for the sole purpose of promoting our services under this Agreement. You may not modify or create derivative works from any of the content we provide.
8. Limitation of Liability
MediaOne.ai will not be liable for any direct, indirect, special, or consequential damages (including, without limitation, lost profits, business interruption, or loss of data) arising out of or in connection with this Agreement or your participation in the affiliate program.
9. Indemnification
You agree to indemnify and hold harmless MediaOne.ai, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of or related to your participation in the affiliate program or your breach of this Agreement.
10. Confidentiality
Any non-public information provided to you as part of the affiliate program must be kept confidential and not disclosed to any third parties unless required by law.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
12. Amendments
MediaOne.ai reserves the right to modify or update the terms of this Agreement at any time. Any changes will be communicated to you via email or by posting the updated Agreement on our website. Continued participation in the affiliate program after such changes constitutes acceptance of the revised terms.
